1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and REDDY STUDIOS LTD ("Company", "we", "us", or "our") governing your access to and use of the Stake Social Platform, including all associated games, features, content, and services (collectively, the "Platform").

By accessing, registering for, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately cease all use of the Platform.

Your continued use of the Platform following any modification to these Terms constitutes your acceptance of those changes. These Terms apply in addition to any other agreements between you and the Company, including our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

To access and use the Platform, you must satisfy all of the following eligibility requirements:

• You must be at least 18 years of age or the age of majority in your jurisdiction of residence, whichever is higher.
• You must have the legal capacity to enter into binding contracts under applicable law.
• You must not be accessing the Platform from a jurisdiction where social gaming platforms are prohibited or restricted by law.
• You must not be a citizen or resident of any jurisdiction where the operation of social gaming platforms is illegal.
• You must not have been previously suspended or banned from the Platform by the Company.
• You must not be acting on behalf of a prohibited entity, including sanctioned individuals or organisations.

By using the Platform, you represent and warrant that you meet all eligibility requirements. The Company reserves the right to verify your eligibility at any time and to suspend or terminate your account if eligibility cannot be confirmed. Misrepresenting your eligibility is a material breach of these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. By registering, you agree to the following:

3.1 Account Creation

You agree to provide accurate, complete, and current information during registration and to keep this information updated. You may only create one account per person. Multiple accounts are prohibited and may result in the termination of all associated accounts.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorised access to or use of your account. The Company will not be liable for any loss resulting from unauthorised use of your account.

3.3 Account Responsibility

You are responsible for all activities that occur under your account. You agree not to share, sell, transfer, or otherwise make your account available to any third party. The Company reserves the right to refuse registration or cancel accounts at its sole discretion.

4. Virtual Currency

4.1 Gold Coins

Gold Coins are the standard free-play virtual currency of the Platform. Gold Coins are provided free of charge through daily bonuses, promotions, and other means. Gold Coins:

• Have no monetary value whatsoever.
• Cannot be purchased, sold, or transferred for real money.
• Have no real-world value and exist solely for entertainment purposes.
• Are used solely for entertainment and gameplay purposes on the Platform.
• May be granted, adjusted, or removed by the Company at its sole discretion.

4.2 Stake Coins

Stake Coins are a promotional virtual currency that may be obtained through purchases of Gold Coin packages or through promotional activities. Stake Coins:

• Have no monetary value and are not a financial instrument.
• Can be obtained as a bonus alongside Gold Coin purchases — you are purchasing Gold Coins only; Stake Coins are provided as a free promotional benefit.
• Cannot be directly purchased, sold, or transferred.
• Have no real-world value of any kind and exist solely for entertainment purposes.
• Cannot be exchanged for real money, prizes, merchandise, or any other item of monetary value.
• Are subject to expiry and may be removed or modified by the Company at any time.

4.3 General Virtual Currency Terms

All virtual currencies are licensed to you on a limited, non-transferable, revocable basis for use solely on the Platform. You acknowledge that virtual currency balances are not property and you have no ownership interest in any virtual currency. The Company reserves the right to modify, suspend, or discontinue any virtual currency at any time without notice or compensation. Virtual currencies are non-refundable except where required by applicable law.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using the Platform:

5.1 Fraud and Abuse

• Using bots, scripts, macros, or automated tools to access or interact with the Platform.
• Exploiting bugs, glitches, or errors to gain an unfair advantage.
• Creating multiple accounts to abuse bonuses or promotions.
• Manipulating, hacking, or attempting to reverse-engineer any aspect of the Platform.
• Engaging in collusion or any form of cheating.

5.2 Unlawful Activities

• Using the Platform for any illegal purpose or in violation of applicable laws.
• Attempting to launder money or use the Platform in connection with financial crimes.
• Impersonating any person or entity, or misrepresenting your identity or affiliation.
• Accessing the Platform from a restricted jurisdiction.

5.3 Harmful Conduct

• Harassing, threatening, or abusing other users or Company staff.
• Transmitting viruses, malware, or any harmful code.
• Collecting or harvesting other users' personal information without consent.
• Posting or sharing illegal, offensive, defamatory, or harmful content.
• Interfering with or disrupting the integrity or performance of the Platform.

6. Intellectual Property

The Platform and all of its content, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, game mechanics, and underlying code (collectively, "Content"), are the exclusive property of REDDY STUDIOS LTD or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial entertainment purposes. This licence does not include the right to:

• Reproduce, modify, adapt, translate, or create derivative works of any Content.
• Distribute, sell, resell, or commercially exploit any Content.
• Decompile, reverse-engineer, or disassemble any software on the Platform.
• Remove or alter any copyright, trademark, or proprietary notices.
• Frame or mirror any part of the Platform without written permission.

All rights not expressly granted are reserved. The Stake name, logo, and all related marks and trade dress are trademarks of REDDY STUDIOS LTD. Unauthorised use of any Company trademarks is strictly prohibited.

7. User Content

The Platform may allow you to submit, post, or share content, including messages, reviews, feedback, usernames, avatars, and other materials ("User Content"). By submitting User Content, you:

• Grant the Company a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with operating and promoting the Platform.
• Represent and warrant that you own or have the necessary rights to grant the above licence.
• Represent and warrant that your User Content does not infringe any third-party intellectual property rights or violate any applicable laws.
• Acknowledge that the Company may, at its sole discretion, remove or modify any User Content without notice.

You agree not to submit User Content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. The Company does not endorse any User Content and assumes no liability for User Content submitted by users.

8. Disclaimers & Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

The Company expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Platform will be uninterrupted, error-free, or secure.
• Warranties regarding the accuracy, reliability, or completeness of any content on the Platform.
• Warranties that defects will be corrected or that the Platform is free from viruses or other harmful components.

The Company does not warrant that the Platform will meet your requirements or expectations. Your use of the Platform is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REDDY STUDIOS LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages.
• Any loss of profits, revenue, data, goodwill, or other intangible losses.
• Damages arising from your access to, use of, or inability to use the Platform.
• Damages arising from any content on the Platform.
• Damages arising from unauthorised access to or alteration of your transmissions or data.
• Any other matter relating to the Platform.

In jurisdictions where limitation of liability is not permitted, our liability shall be limited to the greatest extent permitted by law. Because the Platform offers free-to-play virtual entertainment with no real money at stake, the Company's total aggregate liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed £100 GBP.

10. Indemnification

You agree to defend, indemnify, and hold harmless REDDY STUDIOS LTD and its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Platform.
• Your User Content.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your violation of any applicable laws or regulations.
• Any misrepresentation made by you.

The Company reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate fully with the Company's defence of such matters.

11. Termination

11.1 Termination by the Company

The Company reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause and with or without notice, including but not limited to:

• Breach of these Terms or any other policy.
• Engaging in fraudulent, abusive, or illegal activity.
• Creating risk or possible legal exposure for the Company.
• At the Company's sole discretion for any business reason.

11.2 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your right to access and use the Platform will immediately cease.

11.3 Effect of Termination

Upon termination, all virtual currency balances, game progress, and associated data may be forfeited. Sections of these Terms that by their nature should survive termination shall survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such action in England and Wales.

Notwithstanding the foregoing, the Company reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of our intellectual property rights or other proprietary rights.

13. Changes to Terms

The Company reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make material changes, we will notify you by:

• Posting the updated Terms on the Platform with a revised "Last Updated" date.
• Sending an email notification to the address associated with your account (for material changes).
• Displaying a notice on the Platform.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform. We encourage you to review these Terms periodically to stay informed of any updates.
